SPS Marketing Ltd. Terms & Conditions

Thank you for choosing SPS Marketing Ltd. We are delighted you’ve trusted us to help you bring your projects to life. We’ll work hard with, and for you, as we want you to be 100% happy with the final result. Please see below for more information about working with us. 1. Payment Terms
a. Initial Payment Your initial payment is non-refundable and must be paid before any work begins. This deposit is your commitment to the project and covers the planning, scheduling, research and kick-off meeting (if applicable) and scheduled blocks of project time for the initial phase of your project.

b. Subsequent Payments
For subsequent payments for this project, our payment terms are 30 days from the date of our invoice. Statutory interest will be charged on late payments: This is calculated on a daily basis from the date when the payment becomes due until the date of payment and will be charged at a rate of (8% + the Bank of England base rate) per annum. We are a small business and cash flow is king. Therefore, we cannot continue to work on projects if invoices are not paid on time.

2. Project Brief
It is important that we know exactly what you are trying to achieve and what your expectations for the project are. This will help us deliver your project on time, on budget and to our high standard. The project work will be defined based on the brief we receive. An unclear brief can result in your project requiring additional work that would need to be quoted in addition to the original proposal and may also affect the end result. We ask that you help us keep your project on target by sending information to us in accordance with the agreed timescale. This helps us avoid delays and prevents you from incurring additional costs. We will update you regularly on your project with content or decision timelines to help the project stay on track.

3. Project Cancellation
If you decide to cancel a project after work has begun on the initial phase of your project, we may, at our discretion, return part of your deposit depending on the circumstances, progress and the disruption to our studio schedule.

4. Deliverables Disputes
Disputes about deliverables are very rare. Please inform us as soon as possible of any concerns about the progress of your project to give us the opportunity to rectify matters with you. If any dispute remains at the end of the project about whether the deliverables have been achieved, we will seek mediation through an independent representative.

5. File Exports
On completion of the project, you will receive the final (non-editable) artwork files as agreed in the brief deliverables. Any additional requests for providing artwork in different formats will be charged at our hourly rate in 15-minute blocks.

6. Ownership of Design
We transfer the ownership of the design to you at the end of the project and when your final invoice is paid in full. This means you own the rights to your final, non-editable artwork files once your invoices are paid in full. SPS Marketing Ltd continue to own the intellectual property; this means that the editable design files belong to SPS Marketing Ltd. You can request to purchase the editable files for an additional fee, which will be quoted according to the project.

7. Ownership of Websites
We transfer the ownership of the visual design of the website to you upon completion of the project and when your final invoice is paid in full. The text content is also owned by you. The website code is the intellectual property by SPS Marketing Ltd. If you decide to move your site to another provider, a transfer fee will be quoted according to the project and the website code ownership will pass to you upon transfer of the site.

8. Licensing
Fonts used on all projects are licensed to SPS Marketing Ltd. If you purchase your editable file, you will need to organise your own font licences and will no longer be covered by SPS Marketing Ltd’s licences.
Any stock images purchased for a project are covered under SPS Marketing Ltd’s licence solely for projects delivered for you by SPS Marketing Ltd.

9. Retainer Work
Monthly retainer work runs for a calendar month and is invoiced on the last working day of the month with 30-day payment terms. SPS Marketing Ltd will let you know when you have used all the hours of your retainer for that month. Additional time for work can be bought at our hourly rate, if the studio has capacity for the additional hours. Any hours not used from the month’s retainer budget can be rolled over to be used the following month, if studio schedules allow. Accrued retainer hours can be used on additional design projects, if desired. Any request to change the amount of hours covered by the retainer, including cancellation of the retainer, must be communicated a month in advance.
